Gottfried, M&A / Public Companies Partner, Blank Rome LLP; Patrick McHugh, Senior Managing Director, Okapi Partners LLC, a proxy solicitation firm; Erin O’Reilly, Principal / Director, Strategic Stock Surveillance. Your humble correspondent served as moderator.
After a review of the lessons learned from Proxy Season ’11, the panelists discussed a variety of issues including say-on-pay, forthcoming shareholder proposals, ISS’ voting policies and shareholder activism, among other topics.
A recurring theme emerged throughout the discussions, chiefly involving the importance of shareholder engagement. This is a strategy that we’ve been recommending to clients for many, many years and the importance of engaging your shareholders can never be understated. Shareholder engagement, particularly on a proactive basis, is particularly critical given the calls for greater corporate transparency into areas such as executive compensation, corporate governance practices and so on.
